Legal conditions, AI regulatory framework, and operating terms of SATIA LLC.

Welcome to Satia. By registering, accessing, or using the platform, software APIs, autonomous agents, or services provided by SATIA LLC (a limited liability company formed under the laws of the State of Delaware, with its registered address at 8 The Green, Suite B, Dover, Delaware, United States, 19901; hereinafter 'Satia', 'the Service', or 'we'), you expressly agree to be irrevocably bound by these Terms of Service. If you are entering into this agreement on behalf of a legal entity, you represent and warrant that you possess full legal authority to bind such entity.

1. Acceptance & Legal Capacity

By creating an account, connecting a channel, or executing workflows, you declare that you are at least eighteen (18) years old and hold full legal capacity to enter into binding agreements under the laws of your jurisdiction, the laws of the State of Delaware, and the United States of America.

Satia reserves the right to revise these Terms periodically. Notice of material modifications will be given via the platform or email. Continued use of the Service following the effective date of changes constitutes unconditional acceptance of the updated Terms.

2. Incorporated Documents by Reference (DPA & AI Addendum)

These Terms of Service constitute a single, comprehensive legal agreement together with the following integrated documents, which are incorporated herein by reference:

  • Privacy Policy : Governs personal data treatment under Delaware DOPPA and DPDPA.
  • Data Processing Addendum (DPA) : Mandatory B2B contract governing customer end-user data processing where Satia acts as Data Processor / Service Provider.
  • AI Addendum : Governs generative AI LLM usage, zero-training commitments, input/output ownership, hallucination disclaimers, and voice calling compliance.

In the event of any direct conflict between these Terms and the DPA regarding personal data processing, the DPA shall prevail.

3. Service Description & Technical Architecture

Satia is an enterprise AI Operating System comprising:

  • Dynamic ERP V3 Engine: No-code dynamic relational table schemas natively connected to agent instructions.
  • Augmented Knowledge Base (Satia Docs): Integrated RAG contextualization with multimodal document indexing powered by Gemini 2.5 Flash.
  • Autonomous Omnichannel Agents: Real-time customer engagement across WhatsApp, Instagram, WebChat, and telephony voice synthesis.
  • Automation Hub & Browser Agents: Event-driven triggers, cron schedules, and web automation execution engines.

4. Telephony & Voice AI Regulatory Compliance

Using automated telephony voice agents entails strict statutory compliance duties that the customer assumes exclusively:

  • Mandatory AI Identification: Customer agrees to configure voice agents to conspicuously disclose at the beginning of each call that the caller is speaking with an artificial intelligence assistant.
  • Call Recording Consent Laws: Under federal, international, and state laws (including all-party consent jurisdictions such as California, Delaware, and Florida), recording calls without prior express consent is unlawful. Customer warrants that it secures all required consent before enabling recording or transcription features.
  • TCPA & Telecommunications Compliance: Customer warrants that it will not use Satia telephony agents for unsolicited telemarketing, calling outside permissible statutory calling windows, contacting Do-Not-Call numbers, or engaging in caller-ID spoofing.

5. Accounts, Security & RLS Multitenancy

Access requires an active account authenticated through Supabase Auth. The customer remains solely responsible for safeguarding credentials, API keys, and session tokens.

Cryptographic & Deterministic Isolation (RLS): Satia ensures strict multitenancy via mandatory Row Level Security (RLS) policies in PostgreSQL. All operations are filtered strictly against the verified tenant context to prevent cross-tenant data leaks.

Suspected unauthorized access must be reported immediately to ginna@satia.so.

6. Wallet Economy, Tariffs & Atomic Billing

The Service operates on a combination of fixed monthly channel subscriptions and a prepaid consumption Wallet model:

  • Active Channel Base Fee: A recurring monthly fee of $20.00 USD is billed per active connected channel (e.g., WhatsApp number, Instagram account, WebChat).
  • Variable AI Usage: Token and message processing is debited dynamically (~10-message chat costs approximately $0.02 USD).
  • Voice Agent Telephony: Inbound and outbound phone calls handled by voice agents are billed at $0.18 USD per minute.
  • Automations & Browser Agents: Background workflows and browser tasks are billed at $1.00 USD per executed flow.

Prepaid Balance & Non-Refundability: Balances are credited via verified payment gateways. Billing calculations run atomically via database-level triggers to prevent race conditions. Except where prohibited by mandatory law, Wallet balances are non-refundable and non-transferable.

7. Acceptable Use & Prohibited Conduct

Customer agrees not to use Satia in violation of applicable laws or provider policies (Meta, Google, OpenAI, carriers). Prohibited activities include:

  • Transmitting unsolicited bulk messaging (SPAM) or harassing phone calls.
  • Generating child exploitation material, hate speech, or terrorist content.
  • Impersonating law enforcement, governmental authorities, or financial institutions.
  • Attempting to bypass Row Level Security (RLS) policies or exploit backend APIs maliciously.
  • Scraping or reverse-engineering proprietary technology to develop competing models.

SATIA LLC reserves the authority to immediately terminate any account violating these provisions without liability or balance refund.

8. Intellectual Property & Customer Sovereignty

Customer Data: Customer retains full ownership and intellectual property rights over records uploaded to the ERP, Satia Docs, chat transcripts, and end-user data.

Satia Intellectual Property: SATIA LLC and licensors retain exclusive title to the software, agent network architecture, user interfaces, branding, and proprietary code. No license to source code or proprietary assets is granted.

9. Limitation of Liability (Delaware LLC Act)

THE SERVICE IS PROVIDED 'AS IS' AND 'AS AVAILABLE' WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.

Generative AI Disclaimer: AI models are probabilistic and can generate inaccuracies (hallucinations). Satia is not liable for commercial, legal, or medical decisions taken without human oversight.

Delaware LLC Protection: Under the Delaware Limited Liability Company Act (6 Del. C. § 18-101 et seq.), no member, manager, officer, employee, or agent of SATIA LLC shall be personally liable for any debts, obligations, or liabilities of the LLC.

Liability Cap: SATIA LLC's total cumulative liability arising from any claim shall not exceed the amount actually paid by customer to Satia during the three (3) months preceding the event giving rise to liability.

10. Binding Arbitration & Class Action Waiver

Any dispute arising from these Terms that cannot be resolved amicably within thirty (30) days of good-faith discussions shall be determined exclusively by binding individual arbitration administered under the Commercial Arbitration Rules of the American Arbitration Association (AAA) in the State of Delaware.

Class Action & Jury Waiver:

YOU AND SATIA LLC AGREE THAT DISPUTES SHALL BE RESOLVED SOLELY ON AN INDIVIDUAL BASIS AND NOT AS PART OF ANY CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. BOTH PARTIES IRREVOCABLY WAIVE ANY RIGHT TO A JURY TRIAL.

11. Governing Law & Jurisdiction (Delaware)

These Terms of Service and any related disputes shall be governed by and construed in accordance with the internal substantive laws of the State of Delaware, United States, without giving effect to conflicts of laws principles.

For matters not subject to arbitration, parties submit to the exclusive jurisdiction of the state and federal courts located in the State of Delaware, waiving objections to venue or convenience.
